Green Light for Alaska-Hawaiian Merger as DOJ Review Concludes Without Objection

Alaska Airlines' proposed acquisition of Hawaiian Airlines cleared a major regulatory hurdle as the U.S. Department of Justice (DOJ) allowed the review period to expire without taking action to block the merger.

This significant development brings the $1.9 billion deal one step closer to completion.

Key Points

  • The DOJ had a set timeframe to investigate the proposed merger for potential antitrust concerns, but this period lapsed without the DOJ filing a lawsuit to halt the combination.

  • During the review, Alaska Airlines worked with the Hawaii Attorney General to address concerns and reinforce commitments to maintain the Hawaiian Airlines brand, preserve jobs, and continue strong service to, from, and within Hawaii.

  • Governor Josh Green of Hawaii has endorsed the merger, expressing confidence it will offer more travel options for residents, enhance competition, and benefit consumers, employees, and communities.

  • The merger still requires approval from the U.S. Department of Transportation (DOT) before it can be finalized. Alaska Airlines has submitted an interim exemption application to the DOT.

  • Once finalized, the merger will be the largest U.S. airline consolidation since Alaska Airlines acquired Virgin America in 2016. The combined airline will have a fleet of over 360 aircraft serving more than 130 destinations.

What It Means

This development suggests that the DOJ did not find significant antitrust concerns that warranted blocking the deal outright. However, the merger still faces scrutiny from the DOT before it can be officially approved and completed.

If successful, the combination of Alaska Airlines and Hawaiian Airlines could reshape the competitive landscape of air travel in the Pacific region, offering expanded route networks and more options for travelers.

The deal also has implications for Hawaii's local economy and travel market, with Alaska Airlines pledging to maintain Hawaiian Airlines' brand identity, protect jobs, and ensure continuity of service.
